Affiliate Program Terms & Conditions

1. Affiliate Enrollment

To join the OneCup LLC Affiliate Program, you must complete an application and be approved by OneCup LLC. We reserve the right to accept or reject any application at our sole discretion and without obligation to disclose reasons.

2. Commission Structure

Affiliates will earn 30% commission on all new customer purchases referred through their unique affiliate link.
Commissions are tracked via browser cookies, which are valid for 60 days. If a user completes a purchase within 60 days of clicking your link, the sale will be credited to you.

2.1. Previously Registered Customers

Affiliate commissions will not be paid for any customer who has previously registered with OneCup LLC, regardless of whether their prior subscription was active or canceled at the time of re-registration. If a customer cancels their original plan and later re-subscribes through an affiliate link, the affiliate will not be eligible for commission on that account. OneCup LLC reserves the right to determine customer history and eligibility at its sole discretion.

3. Payment Terms

Commission payouts are processed at the beginning of each calendar month. The minimum payout threshold is $100 USD. Balances below this threshold will roll over to the following month.

Payouts are made through (Bank Transfer). You are responsible for providing accurate payment information. OneCup LLC is not liable for delays or failed payments caused by incorrect or incomplete account details.

4. Prohibited Conduct

Affiliates are strictly prohibited from engaging in:

• Self-referrals or purchases through your own affiliate link
• Spamming, unsolicited emails, or misleading advertising
• Misrepresentation of OneCup LLC products or services
• Use of unauthorized branding or promotional materials
• Promoting on websites containing adult, hateful, or illegal content

Violating these terms may result in immediate termination and forfeiture of unpaid commissions.

5. Intellectual Property

All trademarks, branding assets, and content provided by OneCup LLC remain our sole property. You may use these assets only with written permission and solely for promoting the affiliate program.

6. No Partnership or Agency

This Agreement does not create any partnership, joint venture, agency, or employment relationship. You may not act as a representative or make commitments on behalf of OneCup LLC.

7. Limitation of Liability

OneCup LLC shall not be liable for any indirect, incidental, special, or consequential damages — including lost revenue, profits, or data — resulting from your participation in the affiliate program.

8. Indemnification

You agree to defend, indemnify, and hold harmless OneCup LLC and its team against any claims, losses, or damages resulting from your actions, violation of this agreement, or misuse of our intellectual property.

9. Termination

We reserve the right to terminate or suspend your affiliate account at any time, with or without cause. Upon termination, all licenses and permissions are revoked, and unpaid commissions may be withheld for violations.

Continuity & Emergency Termination
For as long as the Affiliate Program remains active and OneCup LLC, or any duly appointed successor, continues to operate in the ordinary course of business, all commission payouts shall be made in accordance with these Terms.

Notwithstanding the foregoing, in the event of the death, incapacity, permanent unavailability of the owner, or the permanent cessation of business operations without a designated successor, the Affiliate Program shall terminate immediately and automatically. All rights to any pending, accrued, or future commissions shall be extinguished in full, and no payments of any kind shall be due or owing. Affiliates expressly waive and release any and all claims against OneCup LLC, its successors, or the owner’s estate arising from or relating to unpaid commissions in such circumstances.

10. Program Modifications

OneCup LLC may modify or discontinue the program, or update these terms, at any time. You will be notified of significant changes, and continued participation constitutes your acceptance of those changes.

11. Governing Law & Jurisdiction

This Agreement is governed by the laws of the State of Delaware. All legal actions shall be resolved in the state or federal courts located in Delaware, USA.

12. Entire Agreement

These terms represent the complete agreement between you and OneCup LLC regarding the affiliate program and supersede all prior discussions or representations.
